GENERAL TERMS AND CONDITIONS

I. GENERAL PROVISIONS

 

1. Purpose and scope

 

These General Terms and Conditions of Sale ("GTC") govern the contractual relationship between La Santé à Champagne SA, a company limited by shares under Swiss law entered in the Commercial Register of the canton of Vaud under number CHE-194.148.188 (hereinafter "La Santé"), and any natural or legal person ("the Client") who purchases, reserves, uses or benefits from a service, product, subscription, access right or service offered by La Santé, on site or remotely.

 

They apply in particular to:

  • fitness, spa, wellness, longevity, technology, support, catering, boutique and event services;

  • reservations made on site, by telephone, by email, online or via an application;

  • purchases of products, gift vouchers, internal credits and subscriptions;

  • the use of La Santé's facilities, spaces, equipment and digital services.

 

Special conditions may supplement these GTC for certain services, events or specific offers. In the event of a contradiction, the order of priority is as follows:

  1. the individual contract or signed offer;

  2. the specific forms signed or accepted by the Client;

  3. these GTC;

  4. the internal regulations, signage, instructions for use and practical information.

2. Acceptance

 

The Client acknowledges having read these GTC before any order, reservation, subscription or use of a service or facility of La Santé.

 

Reservation, purchase, subscription, payment or use of a service constitutes acceptance of these GTC.

 

If the Client does not accept these GTC, they may not conclude a contract with La Santé or access the services or facilities concerned.

3. Definitions

 

For the purposes of these GTC:

 

  • Client: any natural or legal person who enters into a contract with La Santé.

  • Consumer: any natural person acting for private purposes.

  • Professional client: any legal person, undertaking, self-employed person, association or person acting in the course of their professional activity.

  • Service: any service, treatment, access, activity, support, technology, facility, rental, event or digital service offered by La Santé.

  • Product: any goods sold by La Santé, in particular in the boutique, at the bar, in catering or for takeaway.

  • Subscription: any contract giving access, for a fixed or indefinite period, to certain services or facilities according to the selected formula. The specific terms applicable to subscriptions are set out in Title IV.

  • Gift voucher: any prepaid instrument or medium that may be used in accordance with its own conditions with La Santé.

  • Internal credit: any prepaid amount credited to the Client's account or to an access medium, usable only with La Santé.

  • Independent provider: a professional legally distinct from La Santé, even if they operate on the centre's premises or use certain infrastructures made available to them.

  • Distance sale: any transaction concluded without the simultaneous physical presence of the parties, in particular via the website, by telephone or by email.

4. Communications

 

The contractual language is French. In the event of a translation, only the French version shall be authoritative.

 

Communications from La Santé may be made by post, email, SMS, telephone, notification via a platform or application, or by display in the centre where the nature of the information so allows.

 

The Client is responsible for the accuracy and updating of their contact details.

 

5. Formation of the contract

 

The contract is deemed concluded upon the first of the following events:

 

  • signature of a contractual document, in physical or electronic form;

  • validation of an order or a reservation;

  • confirmation of a reservation or an order by La Santé;

  • receipt of a payment or deposit;

  • commencement of performance of the service.

 

For online orders and reservations, the contract is concluded when the Client validates their request, accepts the applicable GTC and, where applicable, receives a reservation or order confirmation.

 

Unless mandatory law provides otherwise or La Santé expressly agrees otherwise, any confirmed order or reservation is binding.

6. Distance sale — Right of withdrawal

 

6.1 Scope — This article applies to orders for products and subscriptions made remotely (online, by telephone or by email) by a consumer, in accordance with arts. 40a et seq. CO.

 

6.2 Withdrawal period — The consumer has a period of fourteen (14) days to revoke their commitment, without having to state any reason. This period runs from:

  • the conclusion of the contract, for services and subscriptions;

  • receipt of the product, for sales of tangible goods.

 

6.3 Exercise of the right — To exercise this right, the Client must inform La Santé in writing (email: contact@santechampagne.ch or letter to the registered office) before expiry of the period. La Santé shall reimburse the sums received within thirty (30) days following receipt of the withdrawal notice.

 

6.4 Exceptions — The right of withdrawal does not apply:

 

  • to services whose performance has begun, with the Client's express consent, before expiry of the withdrawal period;

  • to foodstuffs and perishable products;

  • to goods made according to the Client's specifications or clearly personalised;

  • to unsealed, opened or consumed products;

  • to gift vouchers whose conditions of use have already begun.

7. Prices

All prices are indicated in Swiss francs (CHF), inclusive of all taxes where VAT is applicable. Medical services recognised by compulsory health insurance and exempt from VAT under the VAT Act are invoiced without VAT, in accordance with the applicable legal regime.

 

The prices applicable are those in force at the time of the order, reservation or subscription.

 

Brochures, publications, visuals, descriptions, newsletters, social media and website content are for information purposes only. They do not constitute a guarantee of results or a contractual promise, unless expressly stated otherwise.

 

In the event of a manifest pricing, display or description error, La Santé may correct the error and inform the Client before performance. If the Client refuses the corrected price, any sum already received shall be refunded without further compensation.

8. Payment

Unless otherwise agreed, services and products are payable immediately, before or at the latest when they are provided. La Santé may require full payment upon reservation, a deposit, a bank imprint or a guarantee for certain services or products.

 

In the event of late payment, La Santé may send one or more reminders, charge reasonable administrative fees, claim default interest at the statutory rate (5% per annum), suspend access to services or facilities, refuse new reservations and require advance payment for any new order.

The Client remains liable for payment of reserved, consumed or contractually due services.

9. Reservations, cancellations, delays and absences

Certain services require prior reservation. Holding a subscription, a gift voucher or an internal credit does not in itself guarantee the immediate availability of a service.

 

Unless stricter special conditions are communicated at the time of reservation:

 

  • any cancellation made more than 24 hours before the scheduled time is free of charge;

  • any cancellation made less than 24 hours before the scheduled time may be charged up to 100% of the price of the service;

  • in the event of an unannounced absence ("no-show"), the service may be charged in full or deducted from the subscription, package, gift voucher or internal credit.

 

For certain long, technical services or services involving a specific professional, a longer cancellation period may be provided for and communicated to the Client before confirmation. For group events, workshops, seminars or privatisations, specific conditions may apply.

 

In the event of delay by the Client, La Santé may reduce the actual duration of the service, refuse to start it or deem it payable. In such case the Client is not entitled to a price reduction or compensation.

10. Performance of the services

 

La Santé provides its services with care and diligence, in accordance with their nature and the applicable professional standards.

 

Unless expressly agreed otherwise, wellness, fitness, spa and longevity services are subject to an obligation of means and not of result. Medical and paramedical services are subject to the professional rules specific to the practitioners concerned.

 

The durations indicated for a service are indicative. La Santé may reasonably adapt schedules, rooms, equipment, technologies used or allocated staff. Such adaptations do not constitute a contractual modification, provided that the essential nature of the agreed service is preserved.

11. Health, fitness for use and specific forms

 

The Client declares that they are fit to use the services and facilities to which they have access. It is their responsibility to inform La Santé or, where applicable, the provider concerned, of any limitation, pathology, contraindication, pregnancy, treatment or medical condition relevant to the requested service.

 

Access to certain services may be subject to the prior signature of a health questionnaire, a medical history form, an informed consent form, a safety protocol or contraindication forms.

 

Any omission or inaccurate declaration may justify refusal of access or interruption of the service.

12. Independent providers

 

Certain services offered within the centre may be performed by independent providers, legally distinct from La Santé. This information is brought to the Client's attention by any appropriate means.

 

Where a service is provided by an independent provider, the contract relating to that service is concluded directly between the Client and the provider; the latter alone is responsible for its provision, pricing, billing, insurance, legal obligations and any complaints.

 

II. ACCESS, FACILITIES AND RULES OF USE

 

13. Access, duration of stay and rules of use

 

Access to La Santé's spaces and facilities is subject to the formula purchased, opening hours, reservation rules, capacity limits, hygiene and safety rules, as well as any age conditions or restrictions specific to the spaces concerned.

 

For operational, hygiene, safety, comfort and user rotation reasons, La Santé sets maximum durations of stay in certain spaces. Unless otherwise indicated on site:

 

  • access to the fitness area is limited to three (3) consecutive hours;

  • access to the spa area is limited to two (2) hours per day;

  • access to the longevity and new technologies area is limited to ninety (90) minutes per day.

 

These durations include the total time spent in the relevant space, including waiting, preparation and circulation time. Any overrun may result in additional fees, temporary restriction of access or an adjustment of reservations.

 

14. Internal regulations and behaviour

 

The Client undertakes to comply with the internal regulations, staff instructions, hygiene rules, safety instructions, the peace of other users and the integrity of the facilities.

 

The following are in particular prohibited:

  • any aggressive, inappropriate, insulting, dangerous or indecent behaviour;

  • any damage to, abusive use of or use of equipment contrary to its intended purpose;

  • access while under the influence of substances compromising safety;

  • any use of the facilities contrary to their purpose.

 

La Santé may refuse access, interrupt a service or exclude a Client temporarily or permanently in the event of behaviour incompatible with the proper functioning or safety of the centre.

 

15. Minors

 

Access by minors is subject to the age, safety and supervision conditions laid down by La Santé and, where applicable, by the department concerned. Unless otherwise indicated on site or communicated:

  • access to the spa is prohibited to persons under 16 years of age;

  • access to the fitness area is prohibited to persons under 14 years of age;

  • minors aged 14 to 15 may access the fitness area only with written authorisation from the legal representative and according to the conditions laid down by La Santé.

 

For other services, minors' access may be subject to prior assessment, a medical history, written consent from the legal representative or the agreement of the professional concerned. The legal representative remains responsible for the minor.

 

16. Changing rooms, lockers and personal belongings

 

Changing rooms and lockers are made available for the duration of the Client's presence in the centre, unless specially rented. The Client remains solely responsible for their personal belongings and must not leave any valuables unattended.

 

Except in cases of gross negligence or wilful misconduct by La Santé, La Santé assumes no liability in the event of loss, theft, forgetting or damage to personal belongings.

 

Lockers must be emptied at the end of each visit, unless specifically agreed otherwise. Any locker left occupied beyond the authorised period may be opened by La Santé for operational, hygiene or safety reasons.

 

17. Access media, badges, cards and internal credits

 

La Santé may issue to the Client a badge, card, bracelet, digital identifier, client account or any other medium allowing access to the facilities, reservations or use of internal credits.

 

These media are personal. The Client is responsible for keeping them safe and must inform La Santé immediately in the event of loss, theft or fraudulent use. Until the medium is effectively blocked, the Client bears the consequences of its use.

 

Internal credits may be used only with La Santé, do not constitute a bank account, do not bear interest and are not refundable in cash, except where required by mandatory law.

 

III. PRODUCTS, SERVICES AND SPECIFIC OFFERS

 

18. Gift vouchers

 

Gift vouchers issued by La Santé are valid for two (2) years from their date of issue, unless a longer period is indicated on the voucher or at the time of purchase.

 

Unless mandatory law provides otherwise, they are not refundable, not convertible into cash, not replaced in the event of loss, theft or destruction, and not extendable after expiry. They may be used subject to reservation, availability and any age or contraindication conditions applicable to the selected service.

 

19. Boutique, catering and products

 

La Santé may sell food products, drinks, cosmetics, supplements, clothing, accessories and other products.

La Santé informs its clients of the 14 major allergens defined by food legislation, upon oral request or according to the information displayed on site. It is also the Client's responsibility to report any allergy or intolerance.

 

Products delivered to the Client are neither taken back nor exchanged, except in the event of a proven defect, an error attributable to La Santé or a particular commercial agreement. Food supplements, cosmetics or wellness products must be used according to their purpose, instructions for use and contraindications.

 

20. Online services and client account

 

Where a client account, personal area, application or reservation platform is made available, the Client is responsible for the confidentiality of their login details. Any action carried out through the account is presumed to have been carried out by the Client, unless misuse notified without delay is proven.

 

La Santé implements reasonable security measures, but does not guarantee permanent availability or the total absence of IT incidents. It is not liable for interruptions, temporary unavailability, bugs, maintenance or malicious acts of third parties beyond its control.

 

21. Parking

 

Parking on La Santé's site is subject to the conditions displayed on site. Except in cases of gross negligence or wilful misconduct by La Santé, La Santé assumes no liability in the event of theft, damage, accident or any other loss concerning parked vehicles, their accessories or the objects they contain.

 

22. Events and corporate offers

 

Corporate services, privatisations, events, groups, seminars, workshops or tailor-made offers may be subject to special conditions, quotations or specific contracts.

 

Unless otherwise agreed, the organiser is responsible for transmitting the necessary information to participants, compliance with schedules, participants' behaviour and any damage caused by them.

 

IV. SUBSCRIPTIONS — COMPLETE PROVISIONS

 

23. Purpose and subscription formulas

 

Subscriptions give access to the services, spaces, time slots, advantages and conditions expressly provided for in the subscribed offer. Services not expressly included remain invoiced separately according to the rate in force.

 

Subscriptions offered by La Santé include in particular:

 

  • fitness subscriptions;

  • spa subscriptions;

  • longevity and technologies subscriptions;

  • combined subscriptions;

  • VIP subscription;

  • subscriptions taken out by companies, clubs, associations or other organisations.

 

Each subscription specifies at least the chosen formula, the spaces or services included, the contractual duration, the price and the payment terms.

 

24. Formation of the subscription

 

The subscription is concluded when the Client signs a subscription contract on paper or electronically, or validates an online subscription according to the path offered by La Santé. Confirmation may be given by email, in the client area or by any other appropriate medium.

 

Where the subscription is concluded remotely by a consumer, the right of withdrawal provided for in art. 6 of these GTC applies. This right does not apply when performance of the subscription has begun with the Client's express agreement before expiry of the withdrawal period.

 

25. Personal nature of the subscription

 

Unless otherwise agreed in writing, every subscription is personal, issued in the Client's name, non-assignable, non-shareable and non-transferable to a third party. Any abusive use of a subscription by a third party may result in immediate suspension or termination, without refund.

 

26. Duration, commitment and renewal

 

The duration of the subscription is that stated in the contract or subscribed offer. Where automatic renewal is provided for, this information is stated clearly and visibly at the time of subscription.

 

Unless a more favourable special provision appears in the contract, the Client may terminate at the contractual expiry date in writing (email, letter or via the client area) subject to notice of:

 

  • one (1) month for standard subscriptions taken out by a consumer;

  • three (3) months for subscriptions taken out by a professional client;

  • three (3) months for the VIP Subscription, irrespective of the Client's status.

 

In the absence of termination within the applicable period, the contractually provided renewal takes effect.

 

27. Price, payment and arrears (subscriptions)

 

The price of the subscription, any instalments and the payment schedule appear in the contract or the subscribed offer. Unless otherwise agreed, amounts falling due remain payable even in the event of partial use or non-use of the subscription.

 

In the event of late payment, La Santé may send a reminder, charge reasonable administrative fees, claim default interest, suspend access to the facilities and refuse new reservations. Continued non-payment may justify termination for cause, without prejudice to recovery of the sums due and collection costs.

 

28. Means of access and autonomous access

 

When the subscription is concluded, La Santé issues the Client with an access medium (badge, card, bracelet or digital identifier). This first medium is offered free of charge. In the event of loss, theft, damage or replacement requested by the Client, a fee may be charged according to the rate in force.

 

Where the subscription allows autonomous access outside staff presence hours, the Client acknowledges that the centre may not be physically supervised and undertakes to exercise increased caution and to comply strictly with the safety procedures, use protocols and emergency instructions communicated by La Santé.

 

29. Scope of the right of access

 

The subscription gives access to the spaces, services and advantages expressly included in the selected formula, subject to availability, opening hours, reservation rules and capacity limits. It does not guarantee priority access, a permanent dedicated machine or area, nor unrestricted access in the event of saturation, maintenance, closure or force majeure.

 

30. Specific rules by area

 

30.1 Fitness

The fitness subscription gives access to the fitness facilities according to the applicable opening hours and rules of access. Coaching, personalised programmes or supervised services are included only if expressly provided for in the subscribed formula.

 

For safety reasons, the use of certain machines or technologies may require a prior introduction by a member of staff or a validated programme.

 

30.2 Spa

Access to the spa may be subject to reservation and availability. La Santé may impose time slots, quotas or specific rules in order to preserve service quality and capacity.

 

Access is limited to two (2) hours per day, unless a different special arrangement is expressly agreed in writing.

 

The Client undertakes to comply with the hygiene rules, dress code, silence requirements, contraindications and instructions specific to the spa area.

 

30.3 Longevity and technologies area

Access to the longevity area is subject to the prior signature of an informed consent form and completion of a health questionnaire validated by competent staff. Certain technologies (cryotherapy, hyperbaric oxygen chamber, infrared, compression, PEMF, etc.) are subject to specific protocols, contraindications and duration limits.

 

La Santé or the competent provider may refuse access to a technology in the event of doubt as to fitness, medical contraindication or failure to comply with the applicable protocol.

 

31. Authorised use and specific prohibitions for subscribers

The Client undertakes to use the facilities in accordance with their intended purpose, the internal regulations and staff instructions.

 

The following are in particular prohibited without prior written authorisation:

  • coaching given by unauthorised third parties;

  • unauthorised improvised or group classes;

  • commercial or promotional activities;

  • filming or photography for commercial purposes;

  • unauthorised private events or demonstrations;

  • any abusive use of spaces or equipment.

 

32. Health, fitness and acceptance of risks (subscribers)

The Client confirms that they are fit to use the facilities and services included in their subscription. It is their responsibility to inform La Santé of any relevant situation, in particular illness, injury, pregnancy, treatment, implanted device or contraindication.

 

The Client acknowledges that certain activities and technologies involve inherent risks, even when used in accordance with instructions. Access to certain facilities may be subject to a medical history, a health questionnaire, informed consent or a prior practical introduction.

 

33. Suspension of the subscription

 

33.1 Suspension for convenience

The Client may request a temporary suspension for convenience up to a limit of sixty (60) days per calendar year, unless the formula expressly excludes this possibility. Each suspension must be requested in writing before the desired start date and may be granted only for full periods defined by La Santé.

 

The subscription end date is extended by the duration of the approved suspension, without retroactive effect and without reimbursement of amounts already due.

 

33.2 Suspension for legitimate reason

In the event of illness, accident, pregnancy, prolonged military service or another serious impediment duly justified, the Client may request a longer suspension. La Santé may require a certificate or supporting document and reserve the right to limit the duration of the suspension to what is objectively justified.

 

34. Early termination

 

Apart from the contractual expiry date, the subscription may be terminated early only for cause or in the cases provided for in the contract. In particular, the following may be considered legitimate reasons, upon supporting evidence:

  • medically certified lasting incapacity;

  • permanent relocation making use manifestly unreasonable;

  • prolonged military or civil service;

  • death;

  • another comparable exceptional circumstance.

 

In the event of accepted early termination, services already consumed are recalculated according to the applicable standard rates; amounts already paid are allocated to those services and to the reasonable administrative costs borne by La Santé. Any remaining balance may be refunded or claimed, as the case may be.

 

35. Annual VIP Subscription

 

The VIP Subscription is an annual premium formula subject to these GTC.

Unless a more favourable special provision applies:

 

  • the VIP Subscription has an initial duration of twelve (12) months;

  • it renews automatically for a new period of twelve (12) months;

  • it may be terminated for the expiry date by giving three (3) months' notice in writing.

 

La Santé sends the VIP member a reminder by email at least thirty (30) days before the annual expiry, informing them of the benefits not yet used so as to enable them to benefit from them before expiry. Sessions, credits and included advantages not used by the expiry date lapse, unless a more favourable special written agreement exists.

 

36. Content of the VIP Subscription

 

36.1 Fitness

VIP members benefit from access to fitness according to the applicable opening hours and access rules, virtual content or classes offered by La Santé, and ten (10) one-hour personalised coaching sessions during the annual period, subject to reservation and availability.

 

36.2 Spa

VIP members benefit from access to the spa for up to two (2) hours per day, from Tuesday to Sunday, upon reservation or subject to availability.

 

36.3 Longevity area

VIP members benefit from access, subject to availability, protocols and contraindications, to the technologies included in the VIP offer, in particular: whole-body cryotherapy, hyperbaric oxygen therapy, infrared chamber, compression boots, PEMF technologies and any other technology expressly included in the current VIP formula.

 

Use is subject to prior health validation, signature of the required forms and strict compliance with the protocols communicated.

 

36.4 Access to dental services

Where the VIP Subscription includes access to dental services, this gives the member a right of access to the consultations and care defined in the signed contract, in particular: two annual visits to the partner dentist, annual radiographs and dental hygiene sessions according to the contractual package.

 

These services constitute a right of access within the limits of the agreed package. Their actual performance remains subject to the independent clinical assessment of the practitioner concerned, to medical contraindications, to the professional rules applicable and to the availability of appointments.

 

36.5 Massages

VIP members benefit from ten (10) massages of 50 minutes, upon reservation and subject to availability, among the eligible massages offered at the centre. Massages not used by the expiry date lapse, unless a written commercial agreement provides otherwise.

 

36.6 Wellness credit

VIP members benefit from a wellness credit of CHF 2,000.— that may be used for eligible services of the centre not already included in the VIP pack. This credit is strictly personal, non-transferable, not convertible into cash and lapses on expiry of the annual subscription period.

 

36.7 Invitations

VIP members benefit from two (2) invitations to themed evenings and four (4) individual invitations for the spa or fitness, according to the conditions laid down by La Santé. Invitations are subject to reservation, availability, minimum age and internal regulations. They are neither convertible into cash, nor refundable, nor resalable and lapse on expiry.

 

37. Corporate, club and association subscriptions

 

Where a subscription is taken out by a company, a club or an association for the benefit of employees, members or guests, a specific contract may provide for the beneficiaries, replacement conditions, billing rules, access rights and the respective responsibilities of the organisation and the end users.

 

Unless otherwise agreed, the organisation subscribing to the subscription remains jointly and severally liable for payment of the sums due and for compliance by the beneficiaries with the applicable rules.

 

38. Minors (subscriptions)

 

The conclusion and use of a subscription by a minor are subject to the age conditions laid down in art. 15, as well as to the written consent of the legal representative where required. Unless otherwise agreed in writing:

  • minors aged 14 to 15 may access the fitness area with written authorisation from the legal representative;

  • persons under 14 may not take out a fitness subscription;

  • persons under 16 may neither take out nor use a subscription including the spa;

  • access to the longevity area is reserved for adults, unless there is exceptional written authorisation from the legal representative and agreement from the person responsible for the area.

 

39. Data relating to the subscription

 

La Santé processes data relating to the subscription (identity, contact details, selected formula, access history, reservations, payments, suspensions, incidents) in accordance with the nLPD and the privacy policy available on the website and at reception.

 

Where certain data are necessary for access control, security, fraud prevention or management of included services, the Client accepts that they are processed for those purposes for the duration necessary.

 

40. Sanctions and termination for cause

 

In the event of a breach of these GTC, the internal regulations or safety instructions, La Santé may, depending on the seriousness of the case, issue a warning, temporarily suspend access, block certain reservations, immediately terminate the subscription or permanently exclude the Client.

 

In the event of termination for cause attributable to the Client, the remaining sums due until the contractual expiry remain payable, except where mandatory law provides otherwise or where La Santé decides otherwise as a gesture of goodwill.

 

V. DATA, LIABILITY AND FINAL PROVISIONS

 

41. Personal data

 

La Santé processes the Client's personal data in accordance with the nLPD (RS 235.1) and its privacy policy, available on the website and at reception. Where health data or other sensitive data are processed, they are processed with enhanced protection and only to the extent necessary for the relevant service. The Client may exercise their rights (access, rectification, deletion, objection, portability) according to the procedures provided for in the privacy policy.

 

42. Video surveillance

 

Certain areas of the centre, in particular the entrances, corridors, common areas and car parks, may be subject to video surveillance for security reasons. The presence of cameras is indicated by visible information on site. Images are retained for a limited period, unless a longer retention period is necessary in the event of an incident, proceedings or a legal obligation.

 

43. Liability

 

La Santé is liable for direct damage caused to the Client where this results from proven fault attributable to La Santé. Within the limits permitted by applicable law, La Santé excludes its liability for:

  • indirect or consequential damage;

  • loss of profit, loss of business, loss of opportunity or non-material harm;

  • damage resulting from improper use of the facilities;

  • damage resulting from failure to comply with instructions, contraindications or safety rules;

  • damage caused by other clients, third parties or independent providers;

  • lost, forgotten, stolen or damaged objects, except in cases of gross negligence or wilful misconduct by La Santé.

 

Nothing in these GTC excludes liability that cannot validly be excluded under Swiss law, in particular in cases of fraud or gross negligence, or in the event of harm to life or physical integrity (art. 100 para. 1 CO).

 

44. Client insurance

 

The Client is responsible for having insurance coverage appropriate to their situation, in particular in respect of accident, illness and civil liability. The Client is liable for damage caused by them to La Santé, its staff, other clients or the facilities as a result of their behaviour or improper use of the premises.

 

45. Force majeure, maintenance and closures

 

La Santé may temporarily suspend, limit or adapt all or part of its services in the event of force majeure, an order from an authority, breakdown, works, maintenance, health measures or any circumstance beyond its control. In such cases, La Santé is not liable for the temporary non-performance of its obligations. Where justified, La Santé may offer, as a commercial gesture, an extension, postponement or internal credit, without acknowledging any general legal obligation.

 

46. Modification of services and of the GTC

 

La Santé may reasonably modify its opening hours, organisation, offer, facilities and the content of certain services. These GTC may be modified at any time; the applicable version is the one in force on the date of the order, reservation or subscription, except for ongoing long-term contracts.

 

In the event of a significant modification affecting an ongoing long-term contract (in particular a subscription), La Santé informs the Client by appropriate means. The Client has a period of thirty (30) days for consumers, and fifteen (15) days for professional clients, to object in writing. If the modification significantly reduces the main agreed services, the Client may terminate for the next contractual expiry date.

 

47. Termination and refusal to contract

 

La Santé may terminate with immediate effect or refuse access to all or part of its services in the event of non-payment, fraud, false declaration, abusive use or behaviour contrary to the regulations. Services already due remain payable. Except in the event of fault by La Santé or a mandatory provision to the contrary, no refund is due for the period already commenced.

 

48. Applicable law and jurisdiction

 

These GTC are governed by Swiss law.

 

For disputes with a professional client, the exclusive place of jurisdiction is at the registered office of La Santé, in the canton of Vaud. For disputes with a consumer, the mandatory places of jurisdiction under Swiss law remain reserved (art. 32 CPC).

 

49. Amicable settlement

 

In the event of a dispute, the parties shall endeavour to seek an amicable solution before any proceedings. The Client may submit their complaint in writing to La Santé with the relevant information and supporting documents. The parties remain free to resort to mediation if they so wish.
